Our Client - the International Investment Company is looking for Legal Counsel to provide legal support to development and M&A projects within the infrastructure sector, from the initial bidding/deal stage through to execution and operation.

Experience:

• 8-10 years of legal experience in a law firm and/or as in-house counsel at a relevant entity

Qualification:

• Internationally recognized LLB/JD degree from an accredited law school
• Bar certification/admission in the relevant jurisdiction(s)

Responsibilities:

Legal Counseling

Advise the Company functions on application of existing procedures and precedents on contractual arrangements, ensuring compliance with regulatory requirements ensuring that every stakeholder is well-informed about the legal ramifications of their choices and actions

Support, advise and execute legal activities across the Company and its operating companies

Interpret data to uncover potential legal implications and resolutions; navigate a range of processes, protocols, and historical legal cases to support the process

Identify and assess legal risks associated with investments and transactions, and propose strategies to mitigate risks

Assist in the resolution of legal disputes, including litigation and arbitration matters

Contribute towards maintaining strong connections with JV partners, external legal counsel, ministries, and other external stakeholders, to stay consistently informed about existing and upcoming alterations to statutory regulations

Develop and detail the Company internal policies and procedures to ensure legal and regulatory compliance within the Company and across entities as per best legal practices in governance, risk management and compliance areas

Transaction Support

Draft and develop project agreements, term sheets, contractual agreements, financial arrangements and other documents required during a transaction process, ensuring compliance with regulatory requirements

Collaborate with project sponsors and advise on legal and regulatory matters pertaining to proposals, and collaborate with external counsel during the transaction process

Contribute towards legal management activities for project transactions and business ventures providing efficient legal support

Research and draft legal input to specific contracts and agreements, including tender documents, project-related documentation, and funding options

Develop and maintain a repository of standard documents, templates and clauses for consistency and efficiency

Team engagement

Engage with team members inside and outside function, fostering a collaborative work environment by sharing knowledge, seeking input, providing support, and contributing towards a positive and productive environment

Stakeholder management

Establish strong relationships with key stakeholders and partners, both internal and external to the Company, such as committee members, advisors, key partners and others

Risk management

Identify and support the analysis of risks relevant to scope of work, promptly report deviations, and operate within established risk management frameworks and systems

Compliance & reporting

Work in compliance with regulations and internal policies pertaining to scope of work; assist leadership in developing and implementing compliance procedures as needed

Prepare reports, memos and presentations for various stakeholders, effectively communicating progress of relevant workstreams
