We are seeking a highly motivated and experienced Mid Legal Counsel to join our Commercial & Legal Department. The ideal candidate will provide comprehensive legal support for investment projects, financing, corporate governance, contract management, and compliance matters, with a focus on the energy and infrastructure sectors in Uzbekistan.

Key Responsibilities

Legal Support for Investment Project Performance

• Provide legal advice throughout the execution of investment projects.

• Review project documentation, monitor contractual obligations, and resolve legal issues.

• Liaise with counterparties, government authorities, and external counsel.

Legal Support for Project Financing

• Assist in structuring, negotiating, and documenting financing arrangements.

• Coordinate with lenders, financial advisors, and external legal counsel.

• Ensure compliance with financing conditions and facilitate financial closing.

Corporate Governance Support

• Draft, review, and maintain corporate governance documents.

• Ensure compliance with applicable laws and internal policies.

Contract Review and Management

• Draft, review, and negotiate commercial contracts.

• Maintain contract templates and manage executed agreements.

Compliance and Risk Management

• Monitor regulatory developments and assess impact on operations.

• Implement compliance policies and conduct training.

• Identify legal risks and propose mitigation measures.

Cross-functional Collaboration

• Work closely with business, finance, and operational teams.

• Manage external counsel to ensure cost-effective and high-quality legal services.

Qualifications & Requirements

Education & Professional Background

• Bachelor’s degree in Law.

• Specialization in Uzbek Civil Law, Commercial Law, Corporate Law, International Law, International Investment Law, International Economic Law, or Energy Law preferred.

Experience

• 3–6 years of legal experience in energy, power, renewable energy (solar, wind, energy storage), or large-scale infrastructure projects.

• Experience supporting full project life cycles: development, contract negotiation, construction, and operation.

• Familiarity with investment structures and key contracts such as PPA, EPC, and O&M agreements.

• Practical experience in cross-border transactions, foreign exchange, land use, government approvals, and permits.

• Ability to coordinate between external law firms and internal business units.

Language Skills

• Fluency in English and Russian.

Preferred Qualifications

• Valid Uzbek lawyer’s license.

• Experience with project financing involving international financial institutions (e.g., multilateral development banks, export credit agencies, commercial banks).

• Knowledge of Uzbek energy and infrastructure legal and regulatory frameworks, including Power Law, PPP Law, Investment Law, and Public Procurement Law.
